The terms of service agreement below covers all products and services offered by psdigital.com.au. Your continued use of our service indicates your acceptance.

1: Important Definitions

i. “Customer” and/or “You” means the individual or entity who ordered services from PS Digital.

ii. “Us”, “We” and/or “Our” means PS Digital, a registered business name of PS Digital Pty Ltd (ABN 41 645 964 021).

iii. “Service” and/or “Services” means any product(s) or services the customer has ordered from us. These Terms of Service apply to all web design, web hosting, domain, marketing, graphic design and related services products, including but not limited to those available to order from our website.

iv. “Server Partner” means the organisation which provides us with our server(s). This information is available upon request.

 

 

2: Acceptance

i. By accessing, ordering and/or using this service, the Customer accepts and agrees to be bound by the terms and provisions of this agreement. In addition, when using particular services, you shall be subject to any posted guidelines or rules applicable to such services. Any participation in this service constitutes acceptance of this agreement. If you do not agree to abide by the above, please do not use this service.

ii. The Customer acknowledges that they are solely responsible for ensuring that all Service(s) are in full compliance with this policy, and that they are solely responsible for the files and applications (including web scripts) that have been uploaded and executed.

 

 

3: Availability of Services

i. Whilst we will endeavour to provide continuous availability of all Service(s) to the Customer, we will not be liable for any service interruptions or downtime. Guaranteed uptime does not form part of our agreement with you.

ii. Scheduled maintenance will be performed at a time deemed suitable by us. We will provide prior notice should maintenance require Service(s) to be offline for greater than thirty (30) minutes, with at least two (2) days’ notice via email.

iii. Unscheduled maintenance will be performed as required by us or our hosting supplier. Where services are affected for more than thirty (30) minutes, we will endeavour to provide notice by email.

 

 

4: Customer General Warranties and Undertakings

i. The Customer warrants that any information supplied to us is true and correct.

ii. The Customer warrants that at the time of entering into this agreement they are not relying on any representation made by PS Digital, its staff, agents or affiliates, which has not been expressly stated in this agreement.

iii. The Customer agrees that they are solely responsible for dealing with cases of unauthorised third-party access to their Account and/or Service(s). These matters should be referred to the Australian Federal Police as soon as possible.

 

 

5: PS Digital General Warranties and Undertakings

i. We shall not be liable to the Customer for harm caused by or related to the Customer’s Service(s) or inability to utilise the Service(s), unless caused by gross negligence or wilful misconduct.

ii. We shall not be liable for lost profits, direct or indirect, special, incidental, consequential or punitive damages of any kind, whether or not foreseeable.

iii. Notwithstanding anything else in this agreement, the maximum aggregate liability of PS Digital, its employees, agents or affiliates shall not exceed the amount paid by the Customer for the Service(s) in question during the six (6) months prior to the event giving rise to the claim.

 

PS Digital does not warrant that:

•  Any Service(s) will be uninterrupted or error-free

•  The Service(s) will meet your requirements, other than as expressly set out in this agreement

•  The Service(s) will be free from hacking attempts, viruses, worms, denial-of-service attacks, or unauthorised access

 

PS Digital makes no express or implied warranties, including merchantability or fitness for a particular purpose, or arising from a course of dealing, usage or trade practice.

In no event will PS Digital be liable for loss of business, contracts, profits, anticipated savings or any indirect or consequential economic loss.

vii. Third-party services engaged through cPanel or WordPress (including but not limited to SEO and web design tools) are used at the Customer’s own risk. PS Digital provides no warranty regarding their performance and is under no obligation to support externally purchased or managed products.

 

6: Accounts and Billing

i. The Customer agrees to a month-to-month contract term unless otherwise stated or agreed in writing.

ii. Month-to-month services automatically renew unless cancelled by the Customer.

iii. Fees for Service(s):

•  Fees commence from the initial order date and renew on the anniversary of the next month

•  Fees are invoiced fourteen (14) days prior to the due date

•  One-off services are due within seven (7) days

•  All prices exclude GST unless otherwise stated

•  Services will not be provisioned until invoices are paid in full

 

iv. Failure to pay may result in account suspension, late fees, referral to collections, or termination.

v. Services unpaid for more than thirty (30) days will be terminated and all data irrevocably deleted.

 

7: Payment Methods

i. Credit and debit card payments are processed securely via Stripe.

ii. EFT payments are available on request.

iii. No other payment methods are accepted.

 

 

8: Refunds

i. No change-of-mind refunds are offered once a service has been ordered or provisioned.

ii. Refunds are not available where Terms or Policies are breached.

iii. Other refunds are assessed at PS Digital’s discretion in accordance with ACCC guidelines.

iv. Refunds may take up to seven (7) business days to process.

 

9: Cancellation, Suspension & Termination

i. Cancellation requests must be submitted via email to support@psdigital.com.au or through the customer portal.

ii. Four (4) weeks’ notice is required for termination.

iii. Outstanding invoices must be paid upon cancellation.

iv. PS Digital may suspend or terminate services for breach, insolvency, or unpaid invoices.

v. Upon termination, PS Digital is under no obligation to retain or provide data backups.

 

 

10: Data Management

i. Customers are responsible for maintaining their own backups.

ii. PS Digital performs backups for disaster recovery purposes only.

iii. Data restoration is subject to availability and may incur a fee of $240.

iv. No backups are maintained following suspension or termination.

 

 

11: Governing Law

i. These Terms are governed by the laws of Western Australia.

ii. The Customer submits to the exclusive jurisdiction of Western Australian courts.

 

 

12: Changes to Terms

i. PS Digital may amend these Terms at any time.

ii. Continued use of Service(s) constitutes acceptance of updated Terms.
